Overview

We acted in an advisory role, drafting a placing memorandum (prospectus) under the old style POS regulations.

We then worked in conjunction with a firm of stockbrokers in order to identify and target private clients, successfully completing the transactions without the requirement for any form of equity underwriting.

Kingswood also coordinated the legal and tax planning advice that was provided to the Board of Directors. This included a share re-organisation and the conversion of the entity into a new PLC holding company. We also provided general support and advice throughout the process.
